1. Acceptance of Terms

By accessing or using Cernix ("we," "our," or "us") hospital management software and related services, you ("you" or "Client") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our services.

2. Services Provided

We provide hospital management software that processes healthcare data on your behalf. Our services include software access, maintenance, updates, and technical support as detailed in your service agreement.

3. User Responsibilities

  • Use the software only for lawful healthcare management purposes.
  • Maintain the confidentiality of your administrator credentials.
  • Provide accurate and current information as required.
  • Comply with applicable laws, including those related to patient data privacy and security.
  • Not use the software to infringe on others' rights or for unauthorized data access.

4. Data Ownership and Privacy

You retain ownership of all healthcare data (including PHI) entered or uploaded into the system. We act as a data processor only and do not claim ownership of your data. Our handling of your data is governed by our Privacy Policy.

5. Security

We implement industry-standard security measures to protect data; however, you acknowledge that no system is completely secure. You agree to notify us promptly of any security breaches or suspicious activity.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance and unforeseen outages may occur. We will notify you in advance when possible.

7. Limitations of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, special, or consequential damages.
  • Our total liability shall not exceed the fees paid by you for the affected service period.
  • You agree to indemnify us against claims arising from your misuse of the software.

8. Termination

Either party may terminate the service according to the terms of your agreement. Upon termination, we will retain your data only as long as required by applicable laws or as necessary to fulfill our contractual obligations. After that, your data will be securely deleted or returned to you, as agreed.

9. Changes to Terms

We may update these Terms from time to time. Continued use of the services constitutes acceptance of the revised Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable to the provision of services by Cernix.
